Governance Manager

Job Description Roles & Responsibilities About the Role: We are seeking an experienced Governance Manager to join our team in Saudi Arabia. The ideal candidate will lead the development and implementation of corporate and board governance frameworks, ensure regulatory compliance, manage stakeholder relationships, and drive continuous improvement of governance processes. Responsibilities: Develop, implement, and maintain corporate governance frameworks and policies Advise the board of directors and executive management on governance best practices Conduct technical risk analysis and ensure alignment with organizational objectives Prepare and deliver comprehensive governance and regulatory compliance reports Manage and facilitate board and committee meetings, including agenda setting and minute taking Liaise with internal and external stakeholders to address governance and compliance issues Monitor changes in regulatory requirements and update governance policies accordingly Drive continuous improvement initiatives for governance processes and controls Required Qualifications: 7-10 years of governance, risk, or compliance experience ICSA/CGI certification Strong technical expertise in corporate governance, board governance, and policy development Demonstrated experience in technical risk analysis and regulatory knowledge Proven reporting skills with the ability to produce clear, concise technical reports Excellent non-technical skills in stakeholder management, communication, and analytical thinking Experience coordinating and managing committees and board meetings In-depth understanding of Saudi Arabian regulatory environment and corporate laws Preferred Qualifications: Advanced degree in Business Administration, Law, or related field Fluency in Arabic and English Experience with governance, risk, and compliance (GRC) software tools Additional certifications such as ISO 31000 or CAMS Prior experience in a publicly listed or multinational organization Company Industry Other Department / Functional Area Other Keywords Governance Manager Get real-time job updates only on our App
